What Is an Annual Report?
The annual report is a document that helps ensure that your business remains in an active status under the Department of State. Regardless of whether or not you need to make changes to the report, it MUST be filed. Therefore, the information presented in the report will reflect the most current data on file with the Division of Corporations of the Florida Department of State. The deadline to file this report WITHOUT a late fee is May 1.
What If It’s Not Filed?
If your annual report is not filed by the third Friday of September, your business will be considered “administratively dissolved.” However, you could still file your annual report between May 2 and the third Friday of September, BUT you would have to pay a $400 late fee. In order to reinstate your business after it has been dissolved, you would have to pay all the associate fees that come with reinstatement, such as a reinstatement fee and the annual report fee.

By filing your annual reports with accurate and updated information regarding such details of your company, you can avoid having to pay extra fees that you’d have to pay otherwise if you made these changes outside of the annual report.
